Citation Completes Voluntary Restructuring

Birmingham, AL, Jan. 5, 2004 - Citation Corporation ("Citation") announced today that it reached an agreement with its lenders to restructure the company's debt and equity. Affiliates of Kelso & Company, the company's primary shareholders have invested an additional $20 million. The new arrangement provides Citation with additional liquidity by restructuring the current debt service arrangement. In addition, Citation reduced its indebtedness obligations by approximately $116 million as a result of these transactions.

Citation CEO, Ed Buker, expressed his thanks for the cooperation and support of the company's shareholders, lenders, suppliers, customers, and employees over the past year.
